The words of which the initial letter is capitalized have meanings defined under the following conditions. These definitions shall have the same meaning regardless of whether they appear in singular or plural form.

4. Subscription and Payments
4.1 Subscription Model
The Service is offered under a subscription model that may be based on one or more of the following variables:
- Number of technicians
- Number of web users
- Selected modules
- Included Work Orders
- Additional Work Orders or operational volume
4.2 Billing Frequency
Subscriptions may be billed monthly or annually, depending on the agreed plan and commercial terms.
4.3 Minimum Commitment
All subscriptions are subject to a minimum contract term of one (1) year, unless otherwise agreed in writing by the Company.
4.4 Renewal
Subscriptions may automatically renew for additional terms unless otherwise specified in the applicable order form, proposal, agreement, or written commercial terms.
4.5 Payments
You agree to pay all applicable fees in accordance with the agreed billing schedule. Failure to pay may result in suspension or termination of access to the Service.
4.6 Taxes
Unless otherwise expressly stated, fees do not include applicable taxes, duties, levies, or governmental assessments. The Client is responsible for applicable taxes associated with the purchase or use of the Service.
4.7 Refunds
All payments are non-refundable unless expressly stated otherwise in a signed commercial agreement.
5. Work Orders
5.1 Definition and Scope
Work Orders are the core usage unit of the platform and may organize tasks, modules, reports, signatures, image evidence, inspections, operational records, and associated workflows.
5.2 Included Work Orders
Each subscription may include a defined number of Work Orders as established in the applicable plan, order form, proposal, or commercial agreement.
5.3 Additional Work Orders
Additional Work Orders may be purchased separately or billed according to usage where applicable.
5.4 Work Order Consumption Logic
A single Work Order may involve one or more modules and associated operational records. The Company reserves the right to define how Work Orders are counted for billing or usage purposes, provided such logic is commercially communicated to the Client.
6. User Content
6.1 Content You Create or Upload
The Service allows Users to create, upload, capture, transmit, and store Content, including but not limited to:
- Images
- Reports
- Operational notes
- Work Order information
- Handwritten signatures
- Inspection records
- Compliance documentation
6.2 Image Uploads
The Service specifically allows Users to capture and upload images directly from their devices. These images may include wind turbine blades, equipment, installations, worksites, repair or upgrade processes, and other operational evidence.
6.3 Responsibility for Content
You are solely responsible for the Content You upload or create through the Service and represent that You have the necessary rights, permissions, and authority to do so.
6.4 Prohibited Content
You may not upload Content that is unlawful, infringing, defamatory, fraudulent, malicious, or that violates the rights of any third party.
6.5 Limited License to Operate the Service
You grant the Company a limited, non-exclusive right to host, store, process, transmit, reproduce, and display Content solely as necessary to provide, maintain, support, secure, and improve the Service.
7. Data Ownership
All operational data, Work Orders, reports, images, and documentation generated through the Service remain the property of the Client.
The Company acts only as a service provider and processor of such data to the extent necessary to deliver the Service and fulfill contractual obligations.
8. Intellectual Property
8.1 Company Intellectual Property
The Service, including the software, design, interface, workflows, layout, trademarks, logos, branding, know-how, and all related intellectual property rights, is and remains the exclusive property of Tech Repair Site LLC and its licensors, where applicable.
8.2 Restrictions
You may not, and may not permit others to:
- Copy, reproduce, republish, or distribute the Service except as expressly permitted
- Reverse engineer, decompile, or attempt to extract source code
- Modify, create derivative works from, or exploit the Service
- Use the Company’s trademarks, names, or branding without prior written consent
9. Feedback
If You provide feedback, ideas, suggestions, enhancement requests, recommendations, or other comments regarding the Service, the Company may use them without restriction and without any obligation to compensate or credit You.
10. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or contractual obligation
- Upload malicious code, malware, or harmful material
- Attempt unauthorized access to accounts, systems, or networks
- Interfere with or disrupt the integrity, security, or performance of the Service
- Misrepresent Your identity or authority
- Use the Service in a manner that is abusive, fraudulent, or commercially misleading
11. Termination
We may suspend or terminate access to the Service immediately, with or without notice, if You breach these Terms, fail to pay applicable fees, create security risks, or engage in conduct that harms the Company, the Service, or other users.
Upon termination, Your right to use the Service will cease immediately, subject to any surviving obligations set forth in these Terms or in a separate agreement.
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, business interruption, or loss of data, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total liability of the Company arising out of or relating to the Service or these Terms shall not exceed the amount paid by the Client to the Company for the Service during the twelve (12) months preceding the event giving rise to the claim.
13. Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
The Company does not warrant that the Service will be uninterrupted, error-free, secure, or suitable for every particular purpose, or that all defects will be corrected.
14. Governing Law
These Terms and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide advance notice before the updated Terms become effective.
Your continued use of the Service after such changes become effective constitutes acceptance of the revised Terms.
